1. Agreement to Terms
By accessing or using the Truvaldi website (truvaldi.com) or engaging Truvaldi for services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use our website or services.
2. Services
Truvaldi provides AI-powered tools, websites, chatbots, content engines, knowledge bases, and automation systems for service businesses. The scope, deliverables, timeline, pricing, and payment terms for any client engagement are defined in a separate project agreement (Master Services Agreement, Statement of Work, or engagement letter) between Truvaldi and the client. These Terms govern your use of our website and public-facing tools. In the event of a conflict between these Terms and a signed project agreement, the project agreement prevails.
3. Website Use
You may use this website and its interactive tools for informational and evaluation purposes. You agree not to: misuse the website or its tools; attempt to access restricted areas or systems; use automated systems to scrape, crawl, or reproduce content; interfere with the website's operation or security; or submit false, misleading, or malicious data through any form or tool. We reserve the right to restrict or terminate access for any user who violates these Terms.
4. Intellectual Property
All content, designs, tools, software, and code on this website are the intellectual property of Truvaldi unless otherwise noted. You may not reproduce, distribute, modify, or create derivative works from our content without written permission. For client engagements: ownership of deliverables (websites, tools, content) is governed by the terms of the respective project agreement. Unless the project agreement specifies otherwise, clients receive a perpetual, non-exclusive license to use deliverables created for them upon full payment.
5. Interactive Tools & Demos
The interactive tools, quizzes, calculators, matchers, assessments, and AI chatbot available on this website are provided for demonstration and informational purposes only. Results are illustrative and should not be considered professional advice. For medical, financial, legal, or insurance-related tools, always consult a qualified professional before making decisions based on tool outputs. Truvaldi is not responsible for actions taken based on tool results.
6. Payment & Cancellation
Payment terms, amounts, schedules, and cancellation policies for client engagements are defined in the project agreement. Where no project agreement exists, the following defaults apply: invoices are due within 15 days of issuance; late payments may accrue interest at 1.5% per month; and either party may terminate an engagement with 30 days' written notice, subject to payment for work completed through the termination date. Monthly partnership (retainer) services may be cancelled with 30 days' written notice effective at the end of the current billing period.
7. Warranty Disclaimer
This website and its tools are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that: the website will be uninterrupted, error-free, or secure; results obtained from the tools will be accurate or reliable; or any defects will be corrected. For client deliverables, warranty terms are governed by the project agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Truvaldi and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of this website or our services — regardless of the theory of liability (contract, tort, strict liability, or otherwise). Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to Truvaldi in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Truvaldi, its officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the website or tools; your violation of these Terms; your violation of any applicable law or regulation; or any content you submit through the website. This indemnification obligation survives termination of these Terms.
10. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts.
11. Dispute Resolution
Before initiating any legal proceeding, the parties agree to attempt to resolve disputes informally by contacting hello@truvaldi.com. If informal resolution is unsuccessful within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona. The arbitrator's decision shall be final and binding. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. Nothing in this section prevents either party from seeking injunctive or equitable relief in court for matters involving intellectual property or confidential information.
12. Confidentiality
In the course of an engagement, each party may disclose confidential information to the other. The receiving party agrees to protect confidential information with the same degree of care it uses for its own confidential information, and not less than reasonable care. Confidential information does not include information that: is or becomes publicly available through no fault of the receiving party; was known to the receiving party prior to disclosure; or is independently developed by the receiving party. Confidentiality obligations survive for two (2) years after the termination of the engagement.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications outages, or cyberattacks. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.
14. General Provisions
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Entire Agreement. These Terms, together with our Privacy Policy, Security & Compliance page, and any signed project agreement, constitute the entire agreement between you and Truvaldi regarding the subject matter herein. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Truvaldi may assign its rights and obligations without restriction. Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right. Survival. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and dispute resolution survive termination of these Terms.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be noted with a revised "Last updated" date at the top of this page. Continued use of the website after changes constitutes acceptance of the updated Terms. A history of prior versions is available upon request.
